本コースでのNUCBミッションとの関係性は次の点にある。 「学生が、金融商品・金融システムと企業の社会的機能を理解し、企業の資金調達と投資活動について合理的に思考できる能力を有し、ビジネス界や国内・国際的な社会の持続的発展に貢献できる能力開発し、ビジネス界でのイノベーティブかつ倫理的なリーダーとなることを目指す」教育をする。
This course pertains to the Mission of NUCB in that this course aims to develop the ability and potentiality that students at the NUCB MBA, as required to be innovative and ethical leaders, will understand the social functions and values of our financial system and financial products, contribute to the sustainability of international and domestic business society via learning MBA Finance.

授業の目的(意義) / Importance of this course

本コースでは、学生が、金融商品、企業の資金調達と投資活動について、企業価値のリスクとリターンの視点から合理的に理解でき、ビジネスの現場でそれを戦略的に活用できる包括的能力を開発することを目的とする。
 具体的には次の点に注目する。
1)金融商品は、大きく分けると、金融資産と金融派生商品・保険に分類されるが、その混合商品も多い。金融商品の例は、預金、金利商品(国債・社債など)、株式商品(株式、先物・オプション)、為替商品(先物・オプション等)、保険商品、など、きわめて多様である。その金融商品は、リターン、リスク、時間という3つの基本属性を持つ。ここで、コストの増大などもリスクに含まれる。
2)金融商品の機能は、キャッシュフローの移転交換・そのパターンの変換と、リスクの移転・変換などを基本とする。金融商品は、共通に将来の不確実性に関係していて、価値・価格が変動する。どのような金融商品もリスクが内包している。ファイナンスの領域の難かしさはこの点にある。
3)そして企業はこの2つに関与して資金調達や投資活動をする。コーポレートファイナンスの問題である。
 株式や社債などの金融商品を通した、直接的な資本市場での資金調達をする場合、上場企業は有価証券報告書などにより、投資家とのコミュニケーションをすることが必要になる(金融商品取引法)。投資家は、企業の発行する株式や社債などの金融商品を組み合わせて、ポートフォリオを作り、リターンとリスクと時間に関して最適なファンドを組成する。この領域は、金融投資として重要な領域であり、ファイナンス理論、デリバティブ理論など多くの知識の蓄積がある。しかし、理論は常に一定の仮定の下に構築されているので、必ずしも現実の現象に対応しない。
 一方、コーポレート・ファイナンスでは、企業が自らの持続的成長(安定的なキャッシュフローの増大)を求めて行う戦略的な事業投資や、日々の事業の安定的資金運営にかかる財務的な問題に関わって、どの金融商品をどのように利用するか、あるいは内部資金をどのように利用してそれを行うか、について、その企業の財務状況や事業(信用)状況に照らして最適な意思決定を考察する領域である。そこでの事業投資や資金ポジションについての意思決定は、将来の投資パフォーマンスの「予測」に大きく依存する。その予測パフォーマンスは、自らのバランスシートの資産・負債構造、将来の売上高・損益の変化だけでなく、将来の企業の商品の需要構造、コスト構造、経営環境、企業内部の内部統制・従業員の「やる気」などに依存する。それゆえ、企業の投資の意思決定では、自ずと事業を通しての将来の不確実なキャッシュフローの予測に関与させられる。 
 この領域は、主として銀行が、資金提供の相談相手として、具体的な金融商品の提供者として、大きく関与してきた領域である。なお、非上場会社の株式は、株式取引市場で取引されないし、資金調達もその市場を利用できない。それゆえ、コーポレート・ファイナンスの知識や企業環境に関わる不確実性を理解して、その中で取引銀行やそのグループの証券会社、保険会社を外部資源として有効利用できる能力が重要である。なお、授業資料ノート1では、参考として非上場会社の事業価値評価に関して類似比較法による評価法を述べている。
 また、企業内での内部金融を行う場合も、市場で取引されている金融商品と対応させて、市場でのリターン・リスクを理解して、内部金融を受ける部門等に合理的な業績要求をしていくことになろう。本コースで利用する「たゆまざる旭硝子の経営:EVA」ではその考え方に基づいている。
 旭硝子では、企業経営において事業部制を敷き、事業部の評価や資本配賦において、会計的かつ金融的測度としてのEVA(経済付加価値)を利用する。しかし国際的な事業を展開する場合、その比較可能性が問題なろう。このコースではコーポレートファイナンスの視点からその有効性を議論したい。さらに仏ガラス会社サンゴバンのケースにより企業が選択できる事業拡張リアルオプションについて議論する。
 またもう一つのケース「青空油圧:クレーン市場への参入」は非上場会社で、新事業開始に対して資金が必要となる。資金調達の方法として、銀行ローン、社債発行(非上場の場合、銀行を含む第三者引受)、証券化、コミットメントライン(これは、最近トヨタが、メガバンクから1兆円のこの商品の契約をした)などがあるが、これら基礎については、事前予習レポートで学習してきてもらい、授業ではその選択肢についての効果について議論してもらう。また、財務的な視点からのリスク構造を議論する。

This course aims to develop the comprehensive capability of students to rationally understand financial products, corporate finance and investment activities in creating values in view of risk and return and strategically make best of the talent in business.
Specifically via case study, students face some various problems arising in firms’ decision making for real investment, which is an important area in corporate finance, where some basic concepts such as DCF, NPV, WACC, EVA for making an investment plan will be reviewed based on a class material.
First, an investment problem is considered for Aozora Hydraulic Pressure Co. aiming to make an entry into hydraulic crane market. The company here is a fictional company describing an actually existing mid-size company. In such a decision making on real investment, it is important to carry out the following analysis before making the decision; reconfirmation of current management environment including own financial condition, evaluation of investment cost together with capital cost, prediction of future profit cash flows via the investment, discounting the predicted cash flows by WACC, setting conditions on the way of monitoring and modification plan in future after the initial investment.
The second case is about the reorganization problem of the AGC (Asahi Glass Co.) that CEO Ishizu aimed to make in 2000, where the AGC had been a globalized large-size company with the worldwide No 1 position in glass industry through repetitions of its M&A activity. To make the management of the enterprise integrated, he introduced an internal company system with resource (fund) allocation scheme based on realized EVA (Economic Value Added) measure, where the department- or business unit-wise, industry-wise and country-wise differences are taken into account in forming individual capital cost and openly announced. However, in the actual reorganization Ishizu confronted the problems of corporate culture and corporate governance. In class, in addition to the EVA performance measure we also discuss on these deep-seated problems in Japanese big companies. In addition, some functions of EVA adopted by Japanese companies will be discussed via the attached class material.

Students will acquire knowledge not only about such various concepts in corporate finance as ROE, WACC, DCF, NPV, Credit risk spread but also will be able to combine and effectively put them into a practice.

Throughout these cases, students will learn about application methods of such basic accounting and finance knowledge on ROE, ROA, WACC, DCF, NPV, credit risk spread, CAPM, etc., in corporate finance and the differences of capital costs of bank loan, corporate bond issuing, and securitization . More importantly they will build knowledge about the thought and process of making investment business plan. In addition, an important viewpoint on firm-reorganization problem will be understood with the concepts and measures discussed in class.

● 2日間の授業のための準備学習(予習復習等)として、履修決定の後、事前レポート(主として授業予習に関係する)の準備をするとともに、コーポレートファイナンスの基礎を学習してください。授業資料1,2を予習してきてください。時間は自らのバックグランドに沿って、十分投資してください。
● 事前レポート課題に対するフィードバック方法は、授業中に全体的に行う。
● EVAによる企業経営のあり方について、授業参加のために思考してきてください。

1)資本コストについてのアサインメントについての議論
  コーポレート・ファイナンスで利用される資本コストの概念について、クラスディスカッション、課題発見型の学
  習をする。
2)ケース株式会社青空油圧について、パート1。ケースメソッドにより、青空油圧の経営状況と投資の意思決定につ
  いて議論する。
3)中型クレーン参入後の事業計画の修正問題を議論する。また代替的資金調達法の基礎について議論し、青空油圧にとって最適な選択法を議論する。

株式会社青空油圧:中型クレーン市場への参入

第2日(Day2)

旭硝子のEVAによる事業部評価の妥当性、経営統合の評価に関係する妥当性の問題である。
1)国別・部門別・ビジネスユニット別の資本コストを基礎にしたEVAによる事業パフォーマンスの比較可能性のメリット、ディメリットを議論する。結局、石津社長の狙いはどの程度達成されたのか。日本企業に代表的な企業文化に根差した内部問題をどのように解決できるのか。
2)大企業でのカンパニー制による経営方式のメリット、ディメリットを議論する。この問題は、実は投資事業計画が最終的な結果として成功するかに関係するので、授業参加する前に考えてきれほしい。
3)フランスのガラス会社サンゴバンの新興市場への事業拡大オプションについて議論する。ここでのオプションは、
金融オプションでなく、「リアルオプション」である。

Takeaki KARIYA is a professor of finance, risk management and ERM at NUCB Business School.
No doubt, our era is in the process of great evolution. While the evolution will make our society better off, it will also expand uncertainties (risk & chance) therein. One of the factors that promote the evolution is our sincere wish for happiness and peace, and the power that makes it realized will be our knowledge in a broad sense and capital. No enterprise or even country that cannot create new knowledge will obtain its sustainability and competitive power.
I take the subjects in charge; enterprise risk management, business risk management and finance. A common theme in these subjects is a thought of creating value out of evolution, risk and chance or equivalently uncertainty. By taking my courses, I hope you will acquire this thought for making your carrier in future. It is the thought on “why and how you need to change yourself and you naturally get changed”. In the activities seeking value creation, only the companies that constantly manage the confronting important uncertainties and reform themselves will be entitled to pursue their sustainability and growth. The uncertainties are of such varieties as the external ones of technology, market, competition, demand, economic environment, regulation, etc. and the internal ones of corporate culture and ethics, internal conflicts, corporate governance, etc. Managing those risks and chances and transforming them into a value is nothing but concrete and specific ideas, schemes, plans, and sometimes innovative thoughts. When successful, it will be knowledge for the organization. Let us enlighten each other and create our knowledge in class.

In the past, Takeaki KARIYA served as professors at Institute of Economic Research of Hitotsubashi University, Institute of Economic Research and Financial Engineering Center of Kyoto University, Business School (Dean) of Meiji University and Josai International University. In addition, he worked as a research director for Mizuho Dai-ichi Financial Technology, a subsidiary of Mizuho Bank. He was also a visiting professor of London School of Economics, Business School of University of Chicago and Rutgers University among others.
He was the founding president of the four academic institutions; Japanese Association of Financial Econometrics & Engineering, Japanese Association of Risk, Insurance and Pension, Japanese Association of Real Estate Financial Engineering, and Japanese Association of Value-Creating Enterprise Risk Management (ERM).  
In research, he was individually ranked the 24th in Annals of Statistics and the 45th in the total of 9 academic journals, which appeared as an article; P.C.B. Phillips, et al (1988) "Worldwide Institutional and Individual Rankings in Statistical Theory by Journal Publications over the Period 1980-1986" Econometric Theory, 4,1-34.
He was elected as a fellow of Institute of Mathematical Statistics (US) and received the Awards of Japan Statistics Society, Japanese Association of Financial Econometrics and Engineering, and Japanese Association of Real Estate Financial Engineering.
